Empactify, LLC — Terms of Service

Welcome to Empactify! These Terms of Service (“Terms”) form a binding agreement between you and Empactify.org and Empactify, LLC (“Empactify,” “we,” “us,” or “our”) governing your access to and use of our websites, programs, courses, mentorship, events, communities, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

Our work is mission-driven—expanding access to practical entrepreneurial education, mentorship, and capital pathways.

1) Who may use the Services

Eligibility (18+). The Services are intended for adults. By accessing or using the Services, you represent that you are at least 18 years old (or the age of legal majority where you live, if higher) and that you have the legal capacity to enter into a binding contract.

Use on behalf of an organization. If you use the Services for or on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In that case, “you” and “your” refer to the organization.

No use by minors. If you are under 18, you may not use the Services or submit personal information through our forms.

2) Accounts & security

You may need an account to access certain features. You agree to provide accurate and up-to-date information, keep your credentials secure, and promptly notify us of any suspected unauthorized access. You are responsible for all activity that occurs under your account.

3) Program enrollment; certificates

Enrollment may have prerequisites, eligibility requirements, and capacity limits. If you successfully complete a program, you may receive a certificate of completion. Certificates are not academic credits and do not confer any professional license or credential.

4) Educational-only; no professional advice

Empactify provides educational content, tools, and mentorship. We do not provide legal, tax, accounting, investment, financial, medical, or other professional advice. You are responsible for decisions you make based on the Services, and you should consult qualified professionals when needed.

5) User content & license you grant

You may submit, post, or upload content (e.g., assignments, messages, posts, feedback, recordings) (“User Content”).

Ownership. You retain ownership of your User Content.

License. You grant Empactify a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, perform, adapt, and distribute your User Content solely to operate, improve, promote, and provide the Services, including community features and showcasing learner projects. You may opt out of public showcasing by contacting support.

Your responsibilities. You represent that you have the rights to submit the User Content and that it does not violate laws or infringe others’ rights.

6) Community standards

To keep our community safe and useful, you agree not to:

Harass, threaten, or discriminate against others; or share pornographic, hateful, or illegal content

Plagiarize, misrepresent work, or encourage unethical or unlawful conduct

Upload malware, scrape, or attempt to bypass security or access restrictions

Use the Services to advertise or sell products/services without our prior written permission

We may moderate, remove content, restrict access, or suspend accounts at our discretion.

7) Intellectual property; your use of our content

The Services, including all content we provide (courses, curricula, videos, tools, code, templates, logos, and trademarks), are protected by intellectual property laws and remain Empactify’s (or our licensors’) property.

Subject to these Terms, Empactify grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own learning and business development. You may not resell, redistribute, reproduce, publicly perform, or create derivative works from our materials without our written permission, except as allowed by law.

8) Payments, subscriptions, trials, and refunds

Fees. Some features are paid. Prices, taxes, and billing terms are shown at checkout.

Subscriptions. If you purchase a subscription, it renews automatically until you cancel. You can cancel through your account (if available) or by contacting support before your renewal date to avoid future charges.

Trials/discounts. Trials and discounts may convert to paid access unless canceled before the trial ends or discount period expires.

Refunds. Where a specific course or plan lists a refund policy, that policy controls. Otherwise, all fees are nonrefundable except where required by law.

Third-party processors. Payments may be processed by third parties; their terms and privacy practices apply in addition to ours.

9) Events and recordings

For live sessions and events (virtual or in-person), you may be recorded (audio, video, photos, and/or chat transcripts). You consent to our use of recordings to operate and improve the Services, for quality assurance, and for limited promotional purposes.

If you prefer not to be featured in promotional materials, notify us at the time of the event or contact support. We will honor requests where feasible.

10) Text messaging (SMS) terms

This section governs any text messages (“SMS”) you receive from Empactify.

a) Consent and opt-in

If you provide your phone number and opt in, you consent to receive SMS messages from Empactify at that number. Messages may include service-related updates such as confirmations, reminders, scheduling information, educational resources, and follow-up communications. If you separately opt in, you may also receive occasional marketing or promotional SMS messages about Empactify programs/services.

b) Message frequency and fees

Message frequency may vary. Standard message and data rates may apply.

c) Opt-out and help

You can opt out at any time by replying STOP. After opting out, you may receive one additional message confirming your opt-out. For help, reply HELP or contact [email protected].

d) Carrier and delivery

Carriers are not liable for delayed or undelivered messages. Delivery depends on carrier network availability and your device settings.

e) No transfer of consent; no third-party marketing use of mobile data

Your consent to receive SMS from Empactify is not transferable. Empactify does not sell or share phone numbers or SMS opt-in information with third parties or affiliates for their marketing or promotional purposes. We may share information with service providers solely to enable message delivery and related support.

11) Third-party links & tools

We may link to or integrate with third-party websites, software, or services. We do not control and are not responsible for third-party content, practices, or terms. Your use of third-party offerings is at your own risk.

12) Beta features

We may offer preview, pilot, or beta features. They are provided “as is” and may change, break, or be withdrawn at any time.

13) Prohibited uses and compliance

You agree to comply with all applicable laws, including export controls and sanctions. You will not use the Services for unlawful purposes or in jurisdictions where access is prohibited.

14) Privacy

Our Privacy Policy explains how we collect, use, and share information, including information related to SMS messaging and consent. By using the Services, you consent to our data practices as described there and to receiving service-related communications (e.g., transactional emails and account notices).

15) Copyright policy (DMCA)

If you believe content infringes your copyright, please send a notice with details to [email protected]. We may remove content and terminate repeat infringers as appropriate under the DMCA.

16) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, EMPACTIFY AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that results will meet your expectations.

17) Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EMPACTIFY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO EMPACTIFY IN THE 6 MONTHS BEFORE THE CLAIM AROSE OR (B) $100.

Some jurisdictions do not allow certain limitations; in those cases, the above limits apply to the maximum extent permitted.

18) Indemnification

You agree to defend, indemnify, and hold harmless Empactify and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.

19) Suspension & termination

We may suspend or terminate your access at any time for any reason, including breach of these Terms or risk to others or to the Services. You may stop using the Services at any time. Sections that by their nature should survive (e.g., payments due, IP, disclaimers, limitations, indemnity, dispute resolution) will survive termination.

20) Changes to the Services or Terms

We may modify the Services and these Terms from time to time. Material changes will be posted with a new effective date. Continued use after changes become effective constitutes acceptance.

21) Communications; electronic records

You consent to receive notices and disclosures electronically, and agree that electronic signatures and records have the same force and effect as paper.

22) Governing law; venue (NV)

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Subject to the arbitration clause below, the exclusive venue for any action not subject to arbitration will be the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction.

23) Dispute resolution; binding arbitration; class waiver

Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by a reputable provider under its rules.

Location & law. The seat of arbitration will be Clark County, Nevada; Nevada law applies.

No class actions. You and Empactify agree to resolve disputes only on an individual basis, not as a plaintiff or class member in any class or representative action.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by sending a written notice to [email protected] with subject line “Arbitration Opt-Out” and your name and the email associated with your account.

(If a court finds the class waiver unenforceable, this Section will be unenforceable and disputes will be heard in court in Clark County, NV.)

24) International users

We welcome global learners. You are responsible for compliance with local laws and for ensuring the Services are lawful where you use them.

25) Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, labor disputes, internet outages, acts of government, war).

26) Assignment; corporate changes

You may not assign these Terms without our consent. We may assign these Terms or any rights/obligations (including in connection with a reorganization or transition to a nonprofit or other corporate form) without notice or consent.

27) Entire agreement; severability; waiver

These Terms (plus any policies referenced here) are the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a right is not a waiver.
